By entering the CO2Rail Investor Portal, I acknowledge that I am accessing confidential, non-public information solely for the purpose of evaluating a potential investment in CO2Rail Company. I agree not to share, distribute, reproduce, disclose, or permit access to any Investor Portal materials or access credentials except as expressly authorized by CO2Rail Company.

I further acknowledge and agree that the materials:
▫️Are preliminary and provided for informational and diligence purposes;
▫️May contain estimates, assumptions, projections, omissions, or errors;
▫️May be revised, corrected, supplemented, or updated without notice as CO2Rail’s work advances; and
▫️Are not a substitute for my own independent diligence or professional advice.

Portal access does not create a right to invest, reserve an allocation, establish accredited-investor status, or constitute acceptance of any proposed investment. Nothing contained in the Investor Portal constitutes a binding offer, acceptance, subscription agreement, allocation, or completed sale of securities. Any offering or sale of securities will be made only pursuant to definitive offering and subscription documents and in compliance with applicable securities laws. In the event of any inconsistency between the Investor Portal materials and the definitive offering documents, the definitive offering documents will control.

CO2Rail’s current Seed+ offering is intended to be conducted pursuant to Rule 506(c) of Regulation D under the U.S. Securities Act of 1933. Participation is limited to accredited investors, and CO2Rail will take reasonable steps to verify each purchaser’s accredited-investor status before accepting any subscription, selling any securities, or accepting any investment funds. Access from outside the United States does not constitute an offer or solicitation in any jurisdiction where such activity would be unlawful. Participation by a non-U.S. investor is subject to applicable U.S. law and the laws and regulatory requirements of the investor’s jurisdiction.
